1. Introduction and Scope
These Terms & Conditions ("Terms") govern your access to and use of the websites, platform, and services operated by EBIS Next Generation ID Limited ("EBIS", "Company", "we", "us", "our"), including:
- ebisbank.com — corporate and informational website
- portal.ebisbank.com — the Octaverse Hub portal, hosting all EBIS platform services
- ebisbaid.ebisbank.com — the EBIS AID (Autonomous Identity) portal
By accessing or using any of these websites or services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
2. About EBIS and Our Services
EBIS Next Generation ID Limited is a verified digital identity company registered in England and Wales (Company No. to be confirmed), operating globally with a registered address at 1, Parkshot, Richmond, TW9 2RD United Kingdom.
We provide a suite of trust-layer digital identity products under the Octaverse Hub platform:
- IDSign — legally binding electronic signature and document management service.
- eVIDence — identity-verified video conferencing with tamper-proof evidence trails.
- VIC AI — AI-powered business consultant and community compliance guardian.
- The Commeety — a verified, members-only professional business network.
- EBIS AID — a 5-level autonomous digital identity framework (available at ebisbaid.ebisbank.com).
- EBU Token — the EBU Utility Token on the Base blockchain, used as an internal value unit within the Commeety ecosystem.
Payments for subscriptions and services are processed through Stripe, our authorised payment partner. By subscribing to any paid plan, you also agree to Stripe's Terms of Service.
3. Eligibility and Account Registration
To access the Octaverse Hub portal and its services, you must:
- Be at least 18 years of age.
- Register an account and complete the identity verification steps required for your chosen service tier.
- Provide accurate, truthful, and complete registration information.
- Maintain the confidentiality of your login credentials and session tokens.
The Commeety and IDSign require you to sign the EBIS Liability Declaration before accessing the service. eVIDence and VIC Premium require an active subscription. Access to advanced features is gated by identity level (Level 1 through Level 5 under EBIS AID).
4. Subscriptions, Plans, and Payments
EBIS services are offered on the following subscription plans, subject to change:
- IDSign: £9.99/month or £89.99/year. Includes VIC Basic.
- eVIDence: Solo, Pro, Team, and Enterprise tiers. Unlimited identity-verified video calls with legal evidence trail.
- VIC AI: Starter, Pro, and Max plans. Subscription-only — no trial available for VIC standalone plans.
- The Commeety: £12.99/month or £119.99/year. Requires IDSign declaration to activate.
- Community Bundle: IDSign + eVIDence Start + Commeety + VIC Pro from £139.99/month.
A 7-day free trial of IDSign and The Commeety is available to new users who have signed the EBIS Declaration in IDSign. eVIDence and VIC standalone plans are not included in the free trial.
All payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period. You may cancel at any time via your portal account settings; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial periods except where required by applicable law.
We reserve the right to update pricing with reasonable notice. Continued use after a price change constitutes acceptance of the new price.
5. Acceptable Use
You agree to use EBIS services only for lawful purposes and in accordance with these Terms. You must not:
- Use any service for unlawful, fraudulent, or abusive purposes.
- Attempt to circumvent identity verification, session controls, or access gating.
- Introduce malware, harmful code, or automated scraping tools.
- Impersonate another person, business, or EBIS entity.
- Share, sell, or transfer your account credentials or session tokens to any third party.
- Use IDSign or eVIDence to execute fraudulent or misleading agreements.
- Misuse the EBU Token system to manipulate trust scores, create fictitious deals, or circumvent bond mechanics.
- Attempt to access another user's data, documents, or deal room without authorisation.
6. The Commeety — Platform Rules
The Commeety is a verified, members-only professional business network. Access requires Level 2 EBIS AID identity verification and a signed EBIS Liability Declaration. By accessing The Commeety, you agree to the following rules in addition to these Terms:
6.1 Purpose and Permitted Use
The Commeety is a business-only platform. It is intended exclusively for:
- Professional deal-making, business partnerships, and investment discussions.
- Advisory sessions, mentorship, and knowledge sharing between verified professionals.
- Funding opportunities posted by and for verified businesses.
- Legitimate commercial transactions conducted through the Deal Room system.
The following are strictly prohibited and will result in content removal, warnings, or account suspension:
- Dating, romantic, or personal relationship content of any kind.
- Political content — partisan opinions, electoral campaigning, or political commentary.
- Religious proselytising — conversion requests, religious promotion, or faith-based campaigning.
- Advertising and unsolicited promotions — spam, MLM recruitment, pyramid schemes, or unauthorised affiliate links.
- Hate speech — content targeting any individual or group based on race, ethnicity, religion, gender, sexuality, nationality, or disability.
- Sexual content of any nature.
- Scams and fraud — advance fee requests, phishing, unauthorised payment requests outside the Deal Room milestone system.
- Off-platform deal solicitation — any attempt to move a deal, payment, or negotiation away from the supervised Deal Room environment.
6.2 VIC AI Guardian — Automated Content Moderation
All messages, posts, and deal room communications on The Commeety are subject to automated compliance monitoring by VIC (Verified Intelligence Consultant), our AI guardian system. VIC operates across multiple languages and scripts including English, French, German, Spanish, Italian, Portuguese, Dutch, Swedish, Norwegian, Danish, Finnish, Russian, Arabic, Chinese, Japanese, Korean, Hindi, and Thai.
VIC may block messages in real time, log violations, and escalate repeated or serious breaches to the Commeety Council for review.
6.3 Breach Rules and Enforcement
The Commeety operates under a published VIC Breach Ruleset (BR-01 to BR-16). Breaches are categorised as follows:
- Automatic Bond Burn (no appeal) — BR-01 (no-show), BR-02 (identity fraud), BR-03 (credential sharing), BR-04 (wallet address disclosure).
- VIC Review — 48-hour window with 24-hour appeal — BR-05 (material misrepresentation), BR-06 (deal abandonment post-milestone), BR-07 (confidentiality breach), BR-08 (payment default), BR-09 (harassment/threats), BR-10 (fake deal creation), BR-11 (agreement breach), BR-12 (unauthorised participant addition), BR-13 (unauthorised wallet disclosure).
- Formal Warning — trust score reduction — BR-14 (repeated SLA breach), BR-15 (unprofessional conduct), BR-16 (incomplete verification at commitment).
EBIS reserves the right to suspend or permanently ban any account found to be in serious or repeated breach of these rules.
6.4 Warning Levels
Community warnings are issued at five levels by the VIC system or Commeety Council:
- Level 1 — Super Light (private note)
- Level 2 — Light Card (profile warning)
- Level 3 — Yellow Card (public caution + 48-hour post restriction)
- Level 4 — Orange Card (formal warning + 72-hour suspension)
- Level 5 — Red Card (7-day suspension). Two Red Cards = 30-day freeze; three = 90-day freeze; four or more = 180-day freeze with asset hold.
6.5 EBU Token and Deal Bonds
The EBU Utility Token is used within The Commeety as a bond and trust mechanism for deal rooms. EBU bonds are locked upon deal confirmation and may be burned (permanently destroyed) upon breach verdict. EBU is not offered or marketed as an investment, security, or financial product. Its value is derived entirely from platform utility. EBIS makes no guarantee of EBU value or liquidity.
6.6 Deal Room Confidentiality
All content shared within a Commeety Deal Room is confidential to the participants. You must not share, disclose, or publish any deal room content, negotiation terms, documents, or member information outside the platform without the explicit written consent of all parties. Breach of this rule may result in bond burn under BR-07 and legal action.
7. IDSign — Electronic Signature Service
IDSign provides legally binding electronic signatures under applicable law including the UK Electronic Communications Act 2000 and eIDAS Regulation (as retained in UK law). By using IDSign, you confirm that:
- You have the legal authority to sign on behalf of yourself or any entity you represent.
- All documents submitted for signature are lawful and accurate.
- You understand that a completed IDSign signature carries the same legal weight as a handwritten signature under applicable law.
EBIS is not responsible for the legality or enforceability of any agreement signed through IDSign. We provide the signing infrastructure only.
8. eVIDence — Verified Video Calls
eVIDence provides identity-verified video conferencing. Recordings and evidence bundles generated within eVIDence sessions are stored securely and linked to EBIS ID verification. You must not use eVIDence to record any person without their consent. All session participants are notified of evidence mode where enabled. EBIS is not responsible for the use of evidence bundles in any legal or regulatory proceeding.
9. EBIS AID — Identity Framework
The EBIS AID (Autonomous Identity) framework, available at ebisbaid.ebisbank.com, provides a 5-level identity trust framework. Access to platform features is gated by identity level. Advancing identity levels requires submission of documents and completion of verification steps. EBIS reserves the right to reject, suspend, or downgrade identity levels if submitted documentation is found to be false, expired, or insufficient.
10. VIC AI — AI Consultant
VIC (Verified Intelligence Consultant) is an AI system powered by Anthropic's Claude technology. VIC is provided as a business tool and does not constitute legal, financial, medical, or investment advice. Responses generated by VIC should not be relied upon as professional advice. EBIS accepts no liability for decisions made in reliance on VIC outputs.
11. Intellectual Property
All content, designs, trademarks, logos, software, documentation, and brand assets associated with EBIS, Octaverse Hub, EBIS AID, IDSign, eVIDence, VIC AI, The Commeety, and EBU Token are owned by EBIS Next Generation ID Limited or its licensors. You may not copy, reproduce, modify, distribute, or exploit any such material without our prior written consent.
User-generated content (posts, messages, documents) remains the intellectual property of the originating user, but by posting on The Commeety, you grant EBIS a non-exclusive, royalty-free licence to display and moderate that content within the platform.
12. Third-Party Links and Services
Our services may link to third-party websites or integrate with third-party services. EBIS is not responsible for the content, privacy practices, or security of third-party sites. Links do not constitute endorsement.
13. Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. EBIS does not warrant that services will be uninterrupted, error-free, or free from security vulnerabilities. We do not guarantee the accuracy of AI-generated content from VIC.
14. Limitation of Liability
To the maximum extent permitted by law, EBIS Next Generation ID Limited shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of or inability to use our services, including but not limited to: loss of profits, loss of data, loss of digital assets, EBU bond burns, or damage arising from reliance on VIC outputs.
Our total aggregate liability to you shall not exceed the total fees paid by you to EBIS in the 12 months preceding the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold harmless EBIS Next Generation ID Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: your violation of these Terms; your misuse of any EBIS service; content you post on The Commeety; or any fraudulent, illegal, or harmful activity conducted through your account.
16. Termination
EBIS may suspend or terminate your account at any time with or without notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your access to all services ceases immediately. You may close your account at any time by contacting support@ebisbank.com. Account closure does not entitle you to a refund of any prepaid subscription fees.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection law in your jurisdiction provides otherwise.
18. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Significant changes will be notified to registered users by email or in-platform notification. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
